These Terms of Service (“Terms”) govern your access to and use of the website located at hyntyt.tech (the “Website”) and any related services offered by HYNTYT Technologies Inc. (“HYNTYT,” “we,” “us,” or “our”), a corporation incorporated under the laws of Ontario, Canada.

Please read these Terms carefully before using the Website. By accessing or using the Website, you acknowledge that you have read these Terms and that your use is subject to them. If you do not agree with these Terms, you should not access or use the Website.

These Terms govern use of the Website only. The provision of consulting and professional services by HYNTYT is governed separately by a signed Master Services Agreement (MSA), Statement of Work (SOW), or other written engagement agreement between HYNTYT and the client.

HYNTYT Technologies Inc. provides professional consulting services in the following areas:

  • Scrum and Agile implementation and coaching
  • CMMI maturity assessments
  • Program management consulting
  • Corporate training and coaching
  • Career mentorship
  • Business formation consulting

3. No Client Relationship

Accessing or using this Website, submitting an inquiry, booking a discovery call, or any other informal interaction with HYNTYT does not constitute a client-consultant relationship, create any obligations on the part of HYNTYT, or give rise to any right to services.

A binding engagement relationship is established only upon execution of a signed Master Services Agreement (MSA), Statement of Work (SOW), Letter of Engagement, or other written agreement between HYNTYT Technologies Inc. and the client. Until such an agreement is executed, HYNTYT is under no obligation to provide services, maintain confidentiality (except as required by law), or act on any instructions.

4. Technology and AI Disclaimer

HYNTYT Technologies Inc. provides consulting and advisory services related to artificial intelligence, machine learning systems, cybersecurity, privacy compliance, and related technologies. The following limitations apply:

  • Content on this Website related to AI, machine learning, cybersecurity, or privacy law reflects current knowledge and is subject to rapid change. HYNTYT does not warrant the accuracy, completeness, or continued applicability of any such content.
  • Consulting advice and deliverables provided under a formal engagement reflect our professional judgment at the time of delivery based on information available. They do not constitute legal advice, regulatory guidance, or a guarantee of compliance with any specific law or standard.
  • Privacy compliance recommendations (including those related to PIPEDA, Quebec Law 25, Canada’s Bill C-27, or other legislation) are advisory in nature and should be reviewed by qualified legal counsel before implementation.
  • Cybersecurity assessments, penetration testing reports, and related deliverables describe conditions at the time of assessment and do not guarantee the absence of vulnerabilities beyond those identified.

5. Intellectual Property

5.1  Website Content:  All content on this Website, including text, graphics, logos, images, software, and other materials, is the property of HYNTYT Technologies Inc. or its licensors and is protected by applicable Canadian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Website content without our prior written consent.

5.2  Pre-existing IP:  HYNTYT retains all rights, title, and interest in and to any methodologies, frameworks, tools, templates, or other intellectual property developed by HYNTYT prior to or independently of any client engagement (“Pre-existing IP”). Unless explicitly stated in a signed engagement agreement, use of Pre-existing IP in a client deliverable does not constitute a transfer of ownership.

5.3  Client Deliverables:  Ownership of deliverables created for a specific client engagement is governed by the terms of the applicable signed agreement. In the absence of an explicit IP assignment clause in a signed agreement, HYNTYT retains ownership of all deliverables and grants the client a limited licence to use them for the purposes of the engagement.

5.4  Feedback:  If you provide feedback, suggestions, or ideas regarding our Website or services, you grant HYNTYT a non-exclusive, royalty-free, perpetual licence to use that feedback for any purpose without obligation to you.

6. Limitation of Liability

To the maximum extent permitted by applicable law, HYNTYT Technologies Inc. and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of this Website or any information contained herein, even if advised of the possibility of such damages.

HYNTYT’s total aggregate liability to you for any claims arising from your use of this Website shall not exceed one hundred Canadian dollars (CAD $100.00). Liability for claims arising under a formal engagement agreement is governed by the terms of that agreement.

Nothing in these Terms limits or excludes liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded by applicable law.

7. Indemnification

You agree to indemnify, defend, and hold harmless HYNTYT Technologies Inc. and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of this Website in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) any content you submit or transmit through the Website.

8. Third-Party Links and Services

This Website may contain links to third-party websites, tools, or services for your convenience. HYNTYT Technologies Inc. does not endorse, control, or assume responsibility for the content, privacy practices, or availability of any third-party website or service. Access to third-party websites is at your own risk and subject to their respective terms and conditions.

9. Privacy

Your use of this Website is also governed by our Privacy Policy, available at hyntyt.tech/privacy. The Privacy Policy is incorporated into these Terms by reference. By using this Website, you acknowledge and agree to the practices described in our Privacy Policy.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or related to these Terms or your use of this Website shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the City of Toronto.

11. Dispute Resolution

Before initiating any formal legal proceeding, the parties agree to attempt to resolve any dispute arising under these Terms through good-faith negotiation. Either party may initiate this process by providing written notice to the other describing the nature of the dispute and the resolution sought. The parties will engage in good-faith discussions for a period of thirty (30) days from the date of such notice before resorting to litigation, unless the dispute involves urgent injunctive relief.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy and any other policies or notices referenced herein, constitute the entire agreement between you and HYNTYT Technologies Inc. with respect to your use of this Website.

These Terms do not govern the provision of professional consulting services, which are subject to the terms of separately executed written agreements. In the event of any conflict between these Terms and a signed engagement agreement, the signed agreement shall prevail.

14. Changes to These Terms

HYNTYT Technologies Inc. reserves the right to modify these Terms at any time. When we make material changes, we will update the Effective Date at the top of this document. Changes are effective immediately upon posting. It is your responsibility to review these Terms periodically. Continued use of the Website following the posting of changes constitutes your acknowledgement of the updated Terms.
